The short version
- ASDK is a service for businesses. You add one script to your website, ASDK builds a knowledge base from your site and the files you upload, and AI agents answer your visitors, capture leads and book meetings.
- You can try ASDK free for 14 days without a payment card. When the trial ends, your account moves to the Free plan unless you choose a paid plan.
- Paid plans are billed monthly or annually, in advance, and renew automatically until you cancel. You can cancel at any time from the dashboard and keep access until the end of the period you paid for. We don't refund partial periods unless the law requires it.
- Your content and your visitors' conversations stay yours. We use them only to run ASDK for you. We don't use them to train foundation models, and we never use one customer's content to answer another customer's visitors.
- AI agents can be wrong. You decide what your agents know and do, you check what they say, and you are responsible for how you use them on your site.
- Follow the Acceptable use policy. In particular: be honest that visitors are talking to an AI, don't use agents as the sole basis for high-risk decisions, and only connect websites you control.
- Self-serve plans come without an uptime guarantee (no SLA). We work hard to keep ASDK running, but we can't promise it will never be unavailable.
- If something goes wrong, our liability is limited to the fees you paid us in the 12 months before the claim (or US$100, if that is more).
- This summary is here to help you read the terms. It is not a substitute for them: if anything in it conflicts with the full text below, the full text applies.
1. About these terms
1.1 Who you contract with. These Terms of Service (the "Terms") are an agreement between you and [TBD: legal entity name], a company incorporated in [TBD: country of incorporation] under registration number [TBD: company registration number], with its registered office at [TBD: registered office address] ("ASDK", "we", "us" or "our").
1.2 Who "you" are. "You" and "Customer" mean the business or organization that creates an ASDK account. If you accept these Terms on behalf of an organization, you confirm that you have authority to bind it, and "you" means that organization.
1.3 Business use only. ASDK is built for businesses and other organizations. By using it, you confirm that you are using it for purposes related to your trade, business, craft or profession and not as a consumer, and that you are at least 18 years old.
1.4 Documents that form part of these Terms. The following documents are part of these Terms:
- the Acceptable use policy (the "AUP");
- the Data processing addendum (the "DPA"), which covers personal data we process on your behalf;
- the plan, price and limit details shown on the pricing page and in the dashboard when you subscribe.
Our Privacy policy explains how we handle personal data for which we are the controller, such as your account details. Our Subprocessors page lists the companies that help us run ASDK.
1.5 If documents conflict. For the processing of personal data on your behalf, the DPA applies over anything else in these Terms. Otherwise, these Terms (including the AUP) apply over any other page or document.
1.6 Accepting these Terms. You accept these Terms when you create an account, click to accept them, or use the Service, whichever happens first.
2. Definitions
In these Terms:
- "Service" means ASDK as we provide it to customers: the dashboard at app.asdk.com, the embed script and the widget it loads, the API, the Agents, files we host for you (such as an llms.txt file), and related support.
- "Agents" means the AI features you can switch on in the dashboard, such as Chat, Sales, Agent-Ready, Search, Forms and Voice, to the extent they are available and included in your plan.
- "Customer Content" means website content we collect at your direction, files you upload, instructions, settings and other material you give us to provide the Service.
- "Conversations" means messages exchanged between your Visitors and your Agents, together with the information Visitors provide in them, such as contact details or meeting requests.
- "Output" means answers, summaries, lead records and other content the Agents generate for you or your Visitors.
- "Visitors" means people, and automated software agents, that use your websites.
- "Users" means the people you invite to your ASDK account.
- "Usage Data" means technical and statistical information about how the Service is used, such as the number of answers, response times, error rates and which features are switched on. Usage Data does not include the content of Customer Content or Conversations.
3. Your account
3.1 Accurate information. Give us accurate account and billing information and keep it up to date.
3.2 Users and seats. You can invite Users up to the number of seats in your plan. You are responsible for what your Users do in your account and for making sure they follow these Terms. The person who created the account, or the person you later make the owner, is the account owner. We send important notices about your account to the account owner.
3.3 Keeping your account secure. Keep your sign-in details confidential and use the security options we offer. Tell us at security@asdk.com as soon as you learn of any unauthorized use of your account.
3.4 One free account per business. Don't create multiple free accounts or trials for the same business to get around plan limits.
3.5 Agencies and accounts for others. If you use ASDK to provide services to your own clients, for example on the Agency plan, you are our customer and you are responsible for your clients' use of the Service. You confirm that you have each client's authority to connect their websites and content, that your agreements with your clients are consistent with these Terms and the DPA, and that your clients follow the AUP. Where your plan includes white-labeling, you may replace ASDK branding with your own, but you must keep the AI disclosure that the widget shows to Visitors.
4. Plans, the free trial and the Free plan
4.1 Plans. We offer a Free plan and paid plans. Each plan has the Agents, features and limits (for example, number of sites, answers per month, pages in the knowledge base and seats) shown on the pricing page and in the dashboard when you subscribe.
4.2 Free trial. New accounts get a 14-day free trial. You don't need a payment card to start it and we don't charge you for it. During the trial you can use the Agents included in the Business plan that are available at the time, within the trial limits shown on the pricing page. When the trial ends, your account moves to the Free plan automatically unless you choose a paid plan. Features that are not part of the Free plan stop working, and anything above the Free plan's limits may be paused. We don't delete your content just because the trial ended. Each business can use one free trial.
4.3 Free plan. The Free plan costs nothing and has the limits shown on the pricing page. On the Free plan, and on any other plan where the pricing page says so, the widget shows a "Powered by ASDK" badge. Don't hide, cover or remove the badge on those plans. The Free plan is subject to the AUP and to reasonable limits that protect the Service for everyone: if usage on a Free account threatens the stability of the Service or looks like abuse, we may slow it down or pause it. We may change or end the Free plan by giving you at least 30 days' notice.
4.4 Limits. When you reach a limit of your plan, such as your monthly answers, the affected feature may pause until your next billing period starts or until you upgrade or buy an add-on, if one is available for that limit.
4.5 Early access and coming-soon features. ASDK is in early access. Agents and features marked "early access" work and you can use them, but they may change, have limitations or contain bugs. Agents and features marked "coming soon" are not available yet. Our descriptions of them are plans, not commitments, so please don't buy a plan because of a feature that isn't available yet. We may change or stop early-access features. If we stop a feature that is a main part of a paid plan you are on, we will tell you in advance and you may cancel under Section 5.8.
4.6 Changes to plans. We may change our plans and what they include. If a change affects a paid plan you are on, it applies from your next renewal, and we will tell you before it does.
5. Fees, billing and taxes
5.1 Fees. Paid plans are charged at the price shown when you subscribe, in US dollars unless we show another currency at checkout. Subscriptions are billed monthly or annually, in advance, at the start of each billing period. Add-ons, such as extra answers, extra sites or extra voice minutes, are charged as described on the pricing page.
5.2 Payment processor. Payments are handled by our payment processor, which is listed on our Subprocessors page. You authorize the payment processor to charge your payment method for all fees you owe, including recurring fees. We don't store full payment card numbers. Depending on the processor, it may act as the seller of record for your purchase, in which case its terms also apply to the payment and its name appears on your invoice. We will show this at checkout.
5.3 Automatic renewal. Your subscription renews automatically for another period of the same length at the price that applies at the time of renewal, unless you cancel before the renewal date.
5.4 Price changes. We will tell you about a price increase for your plan at least 30 days before it applies. The new price applies from your next renewal after the notice period. If you don't agree, you can cancel before the renewal date.
5.5 Upgrades and downgrades. Upgrades take effect right away, and we may charge a prorated amount for the rest of the current billing period. Downgrades take effect at your next renewal. A downgrade can lower your limits or switch off features, and anything above the new limits may be paused.
5.6 Taxes. Fees do not include taxes such as VAT, GST or sales tax. You are responsible for the taxes that apply to your purchase, except taxes on our income. Where the payment processor acts as seller of record, it calculates and collects the taxes. If you give us a valid business tax number, reverse-charge rules may apply.
5.7 Failed payments. If a payment fails, we or our payment processor may try again. If the fees are still unpaid after we have notified you, we may move your account to the Free plan or suspend paid features until you pay.
5.8 Cancellation and refunds. You can cancel a paid plan at any time from the dashboard. Cancellation takes effect at the end of your current billing period; until then you keep access to your plan, and afterwards your account moves to the Free plan. We don't give refunds or credits for partial billing periods, unused features or unused limits, except where the law requires it or where Section 13.4 applies.
5.9 Questions about charges. If you think we charged you incorrectly, contact us at [TBD: legal contact email] within 60 days of the charge so we can look into it.
6. Your content and your data
6.1 You own your content. As between you and us, you own your Customer Content, your Conversations and the Output generated for you, to the extent any rights exist in them. These Terms don't give us ownership of any of it.
6.2 The permission you give us. You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display and adapt (for example, split into passages, convert into embeddings, index and reformat) your Customer Content and Conversations, only as needed to:
- provide the Service to you, including publishing what you choose to publish, such as a hosted llms.txt file or the answers your Agents give;
- keep the Service secure and prevent abuse;
- provide support you ask for; and
- comply with the law.
This license ends when the content is deleted under Section 13.5, except for copies in backups until those backups expire.
6.3 What we don't do with your content. We don't use your Customer Content or Conversations to train foundation models or other general-purpose AI models, and we never use one customer's content to answer another customer's Visitors. The AI model providers we use process your data under terms that prohibit them from training their models on it. We don't sell your Customer Content or Conversations.
6.4 Usage Data. We may collect and use Usage Data to run, secure, bill for and improve the Service, and to create aggregated statistics that don't identify you, any person, or your content.
6.5 Personal data. When we process personal data on your behalf, such as Visitor data in Conversations, you are the controller and we are your processor, and the DPA applies. When we process personal data for our own purposes, such as your Users' account details, we are the controller and our Privacy policy applies.
6.6 Your responsibilities. You are responsible for your Customer Content and for how you use the Service. In particular, you confirm that:
- you have the rights you need to give us your Customer Content and the license in Section 6.2;
- you own or control every website you connect, or are authorized by its owner to connect it;
- you give your Visitors the notices the law requires and get any consents it requires, including a privacy notice that covers ASDK, the AI disclosures described in Section 7.8, and information about the browser storage the widget uses (see our Cookie policy); and
- you don't configure Agents to collect special categories of personal data (such as health information), government identification numbers, payment card numbers or passwords, unless the law allows it and you have told us in writing and we have agreed.
6.7 Getting your data out. While your account is open, you can download your Conversations and leads from the dashboard, where that option is available, or ask us for a copy at [TBD: legal contact email].
7. Agents, AI output and your responsibilities
7.1 How Agents work. Agents use AI models from third-party providers to generate Output based on your Customer Content, your instructions and the Visitor's question. They are designed to answer from your content and to cite the pages they used, but the models also draw on general language knowledge, and Output is generated anew each time.
7.2 AI can be wrong. Output may be inaccurate, incomplete, out of date or inappropriate, even when it is based on your content. Agents can misunderstand a question, and two similar questions can get different answers. We don't guarantee that Output is correct or suitable for any purpose.
7.3 You are responsible for what your Agents say and do. You choose which content your Agents use, how they behave and which actions they can take. Before you put an Agent in front of Visitors, test it. Afterwards, review its answers regularly, keep your content current, and give Visitors a way to reach a person when the matter needs one. You are responsible for any commitments, prices, quotes or statements that your Agents make on your site, in the same way as for other content on your site.
7.4 Not professional advice. Output is not legal, medical, financial, tax or other professional advice. Don't use Agents as the sole basis for decisions that have legal or similarly significant effects on people. The AUP lists uses that are not allowed.
7.5 No guarantee of results. We don't promise any particular result from using ASDK, such as a number of leads, bookings or sales, or that any search engine or third-party AI assistant will read, show or cite your website. Those systems are run by other companies and we don't control them.
7.6 Actions and integrations. Agents can take actions you set up, such as sending leads to your CRM, booking meetings in your calendar or sending data to a webhook, Zapier or Make. When you connect such a service, you instruct us to send it the data the action needs. The connected service is your own provider, governed by its own terms and not by us, and it is not our subprocessor. We are not responsible for connected services, and an integration may stop working if the connected service changes.
7.7 AI model providers. We use third-party AI model providers to run the Agents, as listed on our Subprocessors page. We may change models or providers to keep the Service working well. Their usage rules may mean that some requests are refused.
7.8 Telling Visitors they are talking to an AI. The widget tells Visitors that they are interacting with an AI system. Don't remove, hide or weaken that disclosure, and don't instruct Agents to claim to be human. Some laws place their own disclosure duties on businesses that use AI systems or bots, for example Article 50 of the EU Artificial Intelligence Act and California's bot disclosure law. You are responsible for meeting the duties that apply to you.
7.9 Content for AI agents. Agent-Ready, one of the Agents, helps automated agents, such as AI assistants and crawlers, read and use your site. You choose what is published for them. Anything you publish this way is public, and others may copy or reuse it.
8. Acceptable use
You must follow the Acceptable use policy, and make sure your Users and anyone acting for you follow it too. Don't try to get around your plan's limits, our security measures or the separation between customers, and don't use the Service in a way that could harm us, other customers, Visitors or third parties.
9. Availability, support and changes to the Service
9.1 No service level agreement. We aim to keep the Service available and fast, but self-serve plans come without an uptime commitment, a service level agreement or service credits. The Service may be unavailable during maintenance, because of problems at our providers, or for reasons beyond our control.
9.2 Support. We provide support by email and through the dashboard. We try to answer quickly, but self-serve plans don't include guaranteed response times.
9.3 Changes to the Service. We regularly change and improve the Service. If a change materially reduces the features of a paid plan you are on, we will tell you at least 30 days in advance where we reasonably can, and you may cancel under Section 5.8.
10. Suspension
We may suspend all or part of your access to the Service (for example, one Agent, one site or the widget) if:
- you breach the AUP, or breach these Terms in a way that risks harm to us, other customers, Visitors or third parties;
- your use creates a security risk or threatens the stability of the Service;
- fees remain unpaid after we have notified you;
- we reasonably suspect fraud; or
- the law, a court, a regulator or one of our providers requires it.
Where it is reasonable, we will tell you before we suspend and give you a chance to fix the problem. Otherwise we will tell you promptly afterwards. We will restore access once the reason for the suspension is resolved.
11. Confidentiality
11.1 What is confidential. "Confidential Information" means non-public information that one party shares with the other in connection with the Service and that is marked as confidential or that a reasonable person would understand to be confidential. Your Customer Content and Conversations are your Confidential Information. Non-public details about the Service, including its security, are ours.
11.2 How we each protect it. The receiving party will use the other party's Confidential Information only to perform under these Terms, protect it with at least reasonable care, and share it only with employees, contractors and subprocessors who need it for that purpose and are bound by confidentiality obligations at least as protective as these.
11.3 Exceptions. Information is not Confidential Information if it is or becomes public through no fault of the receiving party, was already known to the receiving party, is independently developed by it, or is lawfully received from someone else without a duty of confidentiality.
11.4 Disclosure required by law. The receiving party may disclose Confidential Information if the law or a court requires it, after giving the other party notice where the law allows, so the other party can seek protection.
12. Intellectual property
12.1 What is ours. We and our licensors own the Service, including our software, the widget, our documentation and the ASDK name and logo. These Terms don't transfer any of those rights to you. While your account is open, we give you a limited, non-exclusive, non-transferable right to use the Service under these Terms and to add the ASDK embed script to the websites you connect.
12.2 Restrictions. Don't copy, modify or create derivative works of the Service; reverse engineer it, except where the law allows this despite this restriction; resell or sublicense it, except as your plan allows (for example, the Agency plan); use it to build a competing product; or remove our notices.
12.3 Your name and logo. We display your name and logo in the dashboard and in the widget as you configure them. We won't use your name or logo in our marketing without your written permission.
12.4 Feedback. If you send us ideas or feedback, we may use them without any obligation to you.
13. Term and termination
13.1 Term. These Terms apply from the moment you accept them until your account is closed.
13.2 Closing your account. You can close your account at any time from the dashboard or by contacting us. Closing the account ends your use of the Service. If you have a paid plan, closing the account also cancels it, and Section 5.8 applies to fees you have already paid.
13.3 Termination by us. We may end these Terms and close your account:
- if you materially breach these Terms and don't fix the breach within 15 days after we notify you;
- immediately, if the breach can't be fixed or is a serious breach of the AUP;
- if the law requires us to; or
- for any other reason, by giving you at least 30 days' notice.
13.4 Refund when we end the Service without cause. If we close your account under the last point of Section 13.3, or stop offering the Service altogether, we will refund the fees you prepaid for the part of your billing period after the closure.
13.5 What happens after closure. When your account closes, your access ends, the widget stops working on your sites, and we delete your Customer Content, Conversations and account data from our live systems within 30 days. Copies in our encrypted backups expire within a further 30 days. We keep records that the law requires us to keep, such as invoices, for as long as it requires. Before closing your account, download any data you want to keep (see Section 6.7).
13.6 What continues after closure. Sections that by their nature should continue after these Terms end will continue, including those on fees owed, confidentiality, intellectual property, disclaimers, limitation of liability, indemnity and governing law.
14. Warranties and disclaimers
14.1 From both of us. Each party confirms that it has the authority to enter into these Terms.
14.2 From you. You confirm that you have the rights described in Section 6.6 and that you will use the Service in line with the law, including data protection and consumer protection law.
14.3 Disclaimer. To the extent the law allows, the Service and all Output are provided "as is" and "as available". We disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We don't warrant that the Service will be uninterrupted or error-free, or that Output will be accurate or complete. Some jurisdictions don't allow certain warranties to be excluded, so some of these exclusions may not apply to you.
15. Limitation of liability
15.1 Indirect losses. To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill or data, arising out of or related to these Terms, even if it was told such losses were possible.
15.2 Overall cap. To the extent the law allows, each party's total liability arising out of or related to these Terms is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event that gave rise to the liability and (b) US$100.
15.3 Exceptions. Sections 15.1 and 15.2 don't limit: your obligation to pay fees; your obligations under Section 16; liability for breaching the AUP; liability for fraud, gross negligence or willful misconduct; or any liability that cannot be limited under the law that applies, such as liability for death or personal injury caused by negligence.
15.4 Why these limits exist. These limits reflect the price of the Service and the way risk is shared under these Terms. They apply whatever the legal basis of the claim.
16. Indemnity
16.1 Your indemnity. You will defend us and our affiliates, officers and employees against claims brought by third parties, and pay the resulting damages, costs and reasonable legal fees, to the extent the claim arises from:
- your Customer Content, including a claim that it infringes someone's rights or breaks the law;
- your use of the Service in breach of these Terms or the AUP;
- your websites, products and services, and how you deal with Visitors and leads, including how you use Output; or
- your breach of the law, including data protection law.
16.2 How claims are handled. We will tell you promptly about a claim, let you control its defense and settlement, and cooperate with you at your expense. You won't settle a claim in a way that admits fault on our part or puts obligations on us without our written consent.
17. Governing law and disputes
17.1 Governing law. These Terms, and any dispute arising out of or related to them, are governed by the laws of [TBD: governing law jurisdiction], without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17.2 Talk to us first. Before starting legal proceedings, contact us at [TBD: legal contact email] and describe the issue. We will both try in good faith to resolve it within 30 days.
17.3 Courts. The courts of [TBD: courts for disputes] have exclusive jurisdiction over disputes arising out of or related to these Terms. Either party may still ask any competent court for urgent relief to protect its intellectual property or Confidential Information.
17.4 Mandatory law. Nothing in these Terms removes rights you have under laws that cannot be changed by contract.
18. Changes to these terms
18.1 How we change them. We may update these Terms from time to time. We publish every version on this page with its effective date and version number. For changes that materially affect your rights or obligations, we will tell the account owner by email and in the dashboard at least 30 days before the change takes effect.
18.2 Faster changes. Changes required by law, or changes that only concern new features, may take effect sooner. We will tell you when that happens.
18.3 If you don't agree. If you don't agree with a change, you can cancel before it takes effect. If you keep using the Service after the effective date, the updated Terms apply to you.
19. General
19.1 Notices. We send notices to the account owner's email address or show them in the dashboard. Send notices to us at [TBD: legal contact email]. Formal legal notices can also be sent by post to [TBD: registered office address].
19.2 Assignment. You may not transfer these Terms without our written consent, except to a successor in a merger, acquisition or sale of all or substantially all of your business, if you tell us. We may transfer these Terms to an affiliate or to a successor in a similar transaction.
19.3 Subcontractors. We may use subcontractors and subprocessors to provide the Service. We remain responsible for their performance under these Terms.
19.4 Events beyond our control. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, war, labor disputes, internet or power outages, or failures of third-party providers. This does not apply to your obligation to pay fees.
19.5 Export controls and sanctions. You will comply with export control and sanctions laws that apply to your use of the Service. You confirm that you are not located in, or controlled by a person in, a country or region subject to comprehensive sanctions, and that you are not on a government list of restricted parties.
19.6 Relationship. The parties are independent contractors. These Terms don't create a partnership, joint venture or employment relationship, and they don't give rights to anyone other than you and us.
19.7 Entire agreement. These Terms, including the documents listed in Section 1.4, are the entire agreement between you and us about the Service and replace any earlier agreements about it. Terms in your purchase orders or other documents do not apply.
19.8 Severability and waiver. If a court finds part of these Terms unenforceable, the rest remains in effect and the unenforceable part is changed only as much as needed to make it enforceable. If we don't enforce a right, we have not waived it.
19.9 Interpretation. Headings are for convenience only. "Including" means "including without limitation". These Terms are written in English, and the English version applies if there is any translation.
