These terms apply to the ASDK partner program (the "Program"). They are an agreement between you and [TBD: legal entity name] ("ASDK", "we", "us"). They add to our Terms of service, which apply when you use ASDK yourself. This is a draft: until the Program's payouts start, we may change these terms with notice as described in section 10.
The short version
- Approved partners get a partner link. When a business signs up through it and pays for an ASDK plan, you earn 30% of what that customer pays for their plan, for as long as they stay a customer.
- ASDK doesn't take payments yet. Until it does, commissions are recorded in your partner dashboard as pending, and nothing is paid out.
- A customer is matched to the first partner link they used within 90 days before signing up. Your own sign-ups and your company's don't count.
- Promote ASDK honestly. No spam, no paid ads on our brand name, no claims we don't make.
- Either side can end the partnership at any time. Commissions earned before then stay yours under these terms.
1. Joining the Program
1.1 Applying. You apply on asdk.com/partners. We review every application and may accept or decline it at our discretion; we tell you by email either way.
1.2 Who can join. You must be at least 18 years old and apply for yourself or for a business you are authorized to represent. If you apply for a business, "you" means that business.
1.3 Your account. You see your partner dashboard by signing in to the ASDK dashboard with the email address you applied with. Keep that address under your control; you are responsible for activity on your account.
2. Your partner link
2.1 Using it. Share your link with people who may benefit from ASDK. You may use it on your website, in newsletters, social posts, videos, courses and in direct conversations with your clients.
2.2 What's not allowed. You may not:
- send unsolicited bulk messages (spam) or messages that break anti-spam laws;
- bid on "ASDK" or confusingly similar terms in paid search ads, or register domains or social accounts that include our name;
- make claims about ASDK's features, prices, availability, results or security that aren't on asdk.com;
- present yourself as ASDK, or offer cash back, discounts or other incentives we haven't approved;
- use your link on sites with illegal, hateful, deceptive or adult content, or use cookie stuffing, forced clicks or other ways to set the referral cookie without a person choosing to visit asdk.com.
2.3 Disclosure. Where the law or a platform's rules require it, tell your audience that you earn a commission when they buy through your link.
3. How referrals are matched
3.1 The referral cookie. When someone opens your link, asdk.com stores a first-party cookie (asdk_ref) in their browser for 90 days, as described in our Cookie policy. If they create an ASDK account in that time, from the same browser, the account's first workspace is recorded as referred by you.
3.2 Who wins. The first partner link a visitor used counts. A partner link takes precedence over a customer's referral link and over the "Powered by ASDK" badge.
3.3 What doesn't count. Sign-ups from your own email address, from addresses at your company's email domain, or from people who already had an ASDK account are not referrals. Visitors who block cookies, clear them or use the Global Privacy Control signal can't be matched.
3.4 Our records decide. We match referrals from our own records. If you believe a referral is missing, write to us within 60 days of the sign-up and we will check.
4. Commission
4.1 Rate. You earn 30% of the amount a referred customer pays ASDK for their subscription plan, unless we agree a different rate with you in writing. The rate in your partner dashboard applies.
4.2 What it's based on. Commission is calculated on each paid subscription period (a month or a year) at the price the customer pays, excluding taxes, refunds, chargebacks, credits and discounts. Add-ons and services outside the plan don't count unless we say so in writing.
4.3 How long. You earn commission on every paid period of a referred customer for as long as they keep paying, while you remain a partner in good standing.
4.4 Refunds and chargebacks. If a payment is refunded or charged back, the commission on it is reversed. If it was already paid out, we may deduct it from later payouts.
5. Payouts
5.1 Before payments are live. ASDK doesn't take payments from customers yet. Until it does, commissions are recorded as pending in your dashboard and are not payable. Pending entries show what you would earn on the payments recorded so far; they are not an amount we owe until payouts start under section 5.2.
5.2 When payouts start. Before the first payout we will email partners the payout schedule, method, minimum amount and the tax and identity information we need. Those details become part of these terms.
5.3 Taxes. You are responsible for taxes on your commissions. We may withhold taxes where the law requires it.
6. Customers' choices
Referred customers are ASDK's customers. They choose their plan, can change or cancel it at any time, and contract with us under our Terms of service. You may not charge them for ASDK or promise them terms we haven't agreed.
7. Our brand
We give you a limited, revocable, non-exclusive right to use the ASDK name and logo only to promote ASDK under these terms, following any brand guidelines we share. You may not change our marks or suggest that we endorse you beyond the Program.
8. Ending the partnership
8.1 By you. You can leave the Program at any time by writing to [TBD: legal contact email].
8.2 By us. We can pause or end your participation at any time. If we end it because you broke these terms, for example through spam or misleading claims, unpaid and pending commissions are forfeited. Otherwise, commissions earned on payments made before the end remain payable under section 5.
8.3 Paused partners. While your participation is paused, new sign-ups through your link aren't recorded as yours and no new commissions are earned.
9. Liability
The Program is provided as is. To the extent the law allows, ASDK's total liability to you under these terms is limited to the commissions payable to you in the 12 months before the claim. Neither side is liable for indirect or consequential losses.
10. Changes and general terms
10.1 Changes. We may change these terms or end the Program. We will email partners at least 30 days before a change that reduces commission rates or ends the Program; commissions earned before the change are calculated under the old terms.
10.2 Relationship. You are an independent contractor. Nothing in these terms makes you our employee, agent or joint venturer.
10.3 Law. These terms are governed by the laws of [TBD: governing law jurisdiction], and disputes go to the courts of [TBD: courts for disputes].
10.4 Contact. Questions about the Program: [TBD: legal contact email].
